May, 2020 -Spain- The Spanish Real Decreto Ley 8/2020 (Royal decree), related to urgent and extraordinary measures to deal with the COVID-19 social and economic impact and consequences in the field of corporate Law.

The “Real Decreto Ley 8/2020” has established various extraordinary measures concerning Spanish Corporate Law.

Among them it has been established that even if not indicated in the statutes, during the emergency period (we refear to the so called in Spanish “estado de alarma”), the meeting of the Corporate governance and administrative ones of the associations (asociaciones), civil and commercial companies of the board of directors of corporative companies and Foundations can be held via videconference or multiple-conference call if:

– all of the members have the required media

– the secretary of that body can identify them

this must be included in the corporate meeting minute to be immediately sent to the email adresses of each participant.
The same rule will be applied to the delegated commission and other compulsory or volunteer that may be created. Will be considered as celebrated in the legal address/ Spanish company's registered office.
